Corporate Governance Assistant – Dublin, Funds Industry.

Play a key role in the broader Governance team, and join a collaborative team, with exposure to multiple jurisdictions and plenty of engagement with the Co Sec and Legal/Compliance teams alike. You will be acting Company Secretary for a number of entities.

Key Responsibilities

  • Coordinate quarterly and ad-hoc board meetings, ensuring seamless organization and attendance.
  • Prepare comprehensive board packs and ensure their timely distribution prior to meetings.
  • Craft accurate meeting minutes and action points, adhering to internal deadlines and standards.
  • Proactively manage the completion of action points, maintaining effective communication with stakeholders.
  • Facilitate internal committee and oversight meetings, including drafting meeting minutes.
  • Maintain and manage statutory filings calendar for Irish entities, ensuring compliance with CRO requirements.
  • Liaise with the board of directors to facilitate signing of resolutions, waivers, etc., as needed.
  • Collaborate with the Group Company Secretary to support various group initiatives.
  • Effectively manage CBI portal filings to meet regulatory obligations.
  • Coordinate fitness and probity checks, ensuring completion as required by regulations.
  • Address foreign jurisdiction filing requirements for ICAVs/ILPs registered abroad.
  • Provide assistance with company filing and committee meeting minutes for other entities/jurisdictions.

You will have a minimum of 2 years’ experience in Company Secretarial roles, preferably in asset management or funds. A natural commnicator, strong organisation, and analytical skills. Proven track record of proactive workload management is needed for this role and proficiency in minute drafting is required given the complexity of some meetings.

Qualifications from a suitable body like the Chartered Governance Institute are advantageous. Along with experience in managing multiple board meetings.

Location:
